1. Start-Up Application AgreementUnsigned
Governs the application process, CIC's rights to conduct due diligence, and the applicant's obligations during review.
This Start-Up Application Agreement is entered into between Community Investment Capital ("CIC") and the Applicant. The Applicant submits this application voluntarily; CIC makes no commitment to fund any application. CIC and its agents may conduct due diligence. CIC will treat business information as confidential save for anonymised governance voting disclosure. Governed by the laws of England and Wales.
2. 50/50 Partnership Term SheetUnsigned
Outlines the principal terms of the equity partnership if the application is approved.
Non-binding summary: CIC will invest the approved capital amount for a 50% equity stake. Key decisions require consent of both parties. Quarterly reporting required. Profits distributed 50/50. Either party may trigger a sale process after 36 months. A full Shareholders' Agreement will be prepared by CIC's legal counsel upon approval.
3. Anti-Money Laundering DeclarationUnsigned
Confirms the business and its principals comply with UK AML regulations.
The Applicant declares: all funds are from legitimate sources; not subject to sanctions imposed by OFSI/UN/EU/US OFAC; not a Politically Exposed Person unless disclosed; consents to AML screening.
4. Data Processing & GDPR ConsentUnsigned
Authorises CIC to process personal and business data in accordance with GDPR.
The Applicant authorises CIC to collect and process data for assessment and administration; share anonymised data with investors for governance voting; retain data per the Privacy Policy; transfer data to compliance/legal service providers under data processing agreements.
